FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH
YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE
WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN
AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR
ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY
TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. TO 
THE EXTENT DAMAGES MAY NOT BE WAIVED, HUDSON AUTOMOTIVE’S AGGREGATE LIABILITY TO YOU
WILL NOT EXCEED FIFTY DOLLARS ($50). THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT
CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

 

Indemnification

You agree to defend, indemnify, and hold harmless Hudson Automotive, its affiliates, licensors, and
service providers, and its and their respective officers, directors, employees, contractors, agents,
licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments,
awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to
your violation of these Terms of Use or your use of the Website, including, but not limited to, your User
Contributions, any use of the Website's content, services, and products other than as expressly
authorized in these Terms of Use, or your use of any information obtained from the Website.

 

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom
or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and
construed in accordance with the internal laws of the State of South Carolina without giving effect to
any choice or conflict of law provision or rule. Subject to the arbitration provision below, all claims
between us must be brought in the state or federal courts of Charleston, South Carolina and you and we
agree to the jurisdiction of such courts.

 

Arbitration

All disputes will be finally and exclusively resolved by binding arbitration in accordance with the
consumer arbitration rules (“Arbitration Rules”) of the American Arbitration Association (“AAA”). YOU
UNDERSTAND THAT BY USING THIS WEBSITE YOU ARE WAIVING YOUR RIGHT TO SUE IN COURT AND
HAVE A JURY TRIAL. Any such claim will be arbitrated on an individual basis before a single neutral
arbitrator appointed in accordance with the Arbitration Rules without an option to appeal.
Notwithstanding the foregoing, (i) if the amount in controversy is $25,000 or less, the arbitration will be
conducted on the basis of written submissions only or (ii) if the amount in controversy is greater than
$250,000, either party may appeal the arbitrator’s decision to Optional Appellate Arbitration in
accordance with the Arbitration Rules. The arbitration will be conducted in-person in Charleston, South
Carolina. Arbitration costs and fees shall be determined in accordance with the Arbitration Rules.
Attorneys’ fees shall be borne by each party independently and no party shall be liable for the attorneys’
fees of the other party. For clarity, no arbitration may proceed as a joinder action, class action, or any
other type of action that combines the controversies or claims of multiple plaintiffs. Except for the filing
of claims in small claims court as permitted by the Arbitration Rules and claims for interim or preliminary
injunctive relief from any court of competent jurisdiction, as necessary to protect the party's rights or
property pending the completion of arbitration, no party may initiate any action in court related to any
controversy or claim subject to these Terms. Judgment on the arbitration award may be entered into
any court of competent jurisdiction. The award of the arbitrator will be final and binding upon the
parties without appeal or review except as permitted by South Carolina law. 

 

YOU UNDERSTAND AND AGREE THAT YOU ARE WAIVING YOUR RIGHTS TO A JURY TRIAL THROUGH THIS
ARBITRATION PROVISION, AS WELL AS ANY RIGHT YOU MAY HAVE TO PRESENT YOUR CLAIM OR
DISPUTE IN A COURT OF LAW. YOU ARE ALSO WAIVING ANY RIGHT YOU MAY HAVE TO PARTICIPATE IN
A CLASS OR JOINDER ACTION RELATED TO CONTROVERSIES OR CLAIMS SUBJECT TO THESE TERMS.

 

Additional Procedures for Mass Arbitration

If twenty-five (25) or more similar claims are asserted against Hudson Automotive by the same or
coordinated counsel or are otherwise coordinated (and your claim is one such claim), you and Hudson
Automotive agree that these additional procedures set forth in this subsection will apply. You and
Hudson Automotive also understand and agree that, in such event, the resolution of the claim might be
delayed.

You and Hudson Automotive agree to the following process and application of the AAA Multiple
Consumer Case Filing Fee Schedule and Supplementary Rules. Counsel for the claimants and counsel for
Hudson Automotive shall each select ten (10) claims (per side) to proceed first in individual arbitration
proceedings as part of a staged process. Only one claim may be assigned to each arbitrator as part of a
staged process unless the parties agree otherwise. The remaining claims shall not be filed or deemed
filed in arbitration nor shall any AAA fees be assessed in connection with those claims until they are
selected to proceed to individual arbitration proceedings as part of a staged process. If the parties are
unable to resolve the remaining claims after the conclusion of the initial twenty (20) proceedings, the
parties shall participate in a global mediation session before a retired state or federal court judge or
other mediator mutually agreeable to Hudson Automotive and your counsel, and Hudson Automotive
shall pay the mediator's fee.

If the parties are unable to resolve the remaining claims in mediation at this time, each side shall select
twenty (20) claims (per side) to proceed to individual arbitration proceedings as part of a second staged
process. (If there are fewer than forty (40) claims remaining, all shall proceed.) The remaining claims
shall not be filed or deemed filed in arbitration nor shall any AAA fees be assessed in connection with
those claims until they are selected to proceed to individual arbitration proceedings as part of a staged
process. Only one claim may be assigned to each arbitrator as part of a staged process unless the
parties agree otherwise. If the parties are unable to resolve the remaining claims after the conclusion of
the forty (40) proceedings, the parties shall participate in another global mediation session before a
retired state or federal court judge or other mediator mutually agreeable to Hudson Automotive and
your counsel, and Hudson Automotive shall pay the mediator's fee.

If the parties are unable to resolve the remaining claims in mediation at this time, this staged process
shall continue with one hundred (100) cases proceeding at one time that are selected randomly or by
the AAA in staged sets, until all the claims included in these coordinated filings, including your claim, are
adjudicated or otherwise resolved. Between each staged set of proceedings, Hudson Automotive agrees
to participate in a global mediation session should your counsel request it in an effort to resolve all
remaining claims. The mediator will be jointly agreed between Hudson Automotive and your counsel
and the mediator’s fee will be equally divided between Hudson Automotive and you (or such other
allocation as Hudson Automotive may agree with you or your counsel).

Any applicable limitations periods (including statutes of limitations) and any arbitration fee deadlines
shall be tolled for claims subject to these additional procedures from the time the first claims are
selected to proceed until the time your claim is selected, withdrawn, or otherwise resolved.
Each arbitrator shall endeavor to issue their award within 120 days of their appointment or as swiftly as
possible while ensuring fairness to the parties.

Counsel for the parties will meet and confer throughout this process in an effort to informally resolve
the remaining claims, streamline procedures, address the informal exchange of information, modify the
number of claims to be adjudicated in any given set of staged proceedings, and ensure the process
remains fair and efficient for all parties.

 

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF
USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION
ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by Hudson Automotive of any term or condition set out in these Terms of Use shall be
deemed a further or continuing waiver of such term or condition or a waiver of any other term or
condition, and any failure of Hudson Automotive to assert a right or provision under these Terms of Use
shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be
invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the
minimum extent such that the remaining provisions of the Terms of Use will continue in full force and
effect.

Entire Agreement

The Terms of Use, our Privacy Policy, and Terms of Sale, constitute the sole and entire agreement
between you and Hudson Automotive regarding the Website and other interactions within the scope of
these Terms of Use and supersede all prior and contemporaneous understandings, agreements,
representations, and warranties, both written and oral, regarding the same.
